Vireo Growth Acquires Planet 13 in Strategic All-Stock Merger
In one of the most notable multi-state operator (MSO) transactions of the year, Minneapolis-based Vireo Growth Inc. has entered into a definitive merger agreement to acquire Las Vegas-headquartered Planet 13 Holdings Inc. in an all-stock deal.
The deal, announced jointly by both companies at the end of July, marks a massive scale expansion for Vireo Growth, uniting Planet 13’s high-profile retail footprint—including its famous Las Vegas superstore—with Vireo’s vertically integrated operations across key U.S. markets.
“Planet 13 represents another significant milestone of our disciplined growth strategy,” Vireo CEO John Mazarakis said in a statement. “These assets will deepen our existing footprint in Nevada and Florida while complementing our developing platform in Illinois.”
The Math Behind the Mega-Merger
Under the terms of the agreement executed on July 26, 2026, Planet 13 will merge into a wholly-owned subsidiary of Vireo Growth. Shareholders of Planet 13 common stock will receive 0.015383618 subordinate voting shares of Vireo for each Planet 13 share held.
The exchange ratio represents a 16.6% premium over Planet 13’s 20-day volume-weighted average price (VWAP) as of July 24, 2026, and a 24% premium over its closing price on the same date.
Upon completion of the transaction, Planet 13 will operate as a direct, wholly-owned subsidiary of Vireo, and its common shares are expected to be delisted from the Canadian Securities Exchange (CSE) and OTCQX market.
The acquisition accelerates Vireo’s national footprint by integrating Planet 13’s extensive retail and production infrastructure. The combined entity is set to absorb 36 physical retail dispensaries across major western and regional markets, alongside three active processing facilities and up to 2.3 million square feet of expandable cultivation capacity in Nevada.
In addition to retail square footage, Planet 13 brings a high-volume tourist retail model centered on its Las Vegas superstore location. To maintain market stability during integration, key Planet 13 insiders signed voting support agreements and lock-up covenants restricting share releases for up to 18 months following the transaction’s close.
From Boardroom Votes to Regulatory Sign-Offs
The merger agreement received unanimous approval from the boards of directors of both companies following a recommendation from Planet 13’s special committee. However, final completion remains subject to several customary closing conditions before the integration can take effect.
The deal requires an affirmative vote by a majority of Planet 13 stockholders, regulatory clearances from state cannabis agencies, and federal antitrust clearance. Additionally, the new Vireo consideration shares must receive listing approval from the CSE, and SEC Form S-4 registration must become effective. The agreement also includes a $1.8 million termination fee payable by Planet 13 under specific circumstances should the transaction fail to proceed.
The transaction reflects an ongoing push toward operational efficiency and footprint scaling among mid-tier MSOs seeking regional market density. By structuring the merger as an all-stock deal, Vireo aligns with an industry-wide trend of preserving cash reserves while expanding market positioning across the capital-constrained U.S. cannabis sector.
